These Terms & Conditions apply to:
use of our website (“Website Terms”), and
supply of products to business customers (“B2B Sales Terms”).
By using our website, requesting a quote, placing an order, or accepting delivery of products from us, you agree to these Terms.
Part 1 — Website Terms
1) About us
We are Evolve Bio Ltd, trading as EvolveBio Dental.
We distribute dental biomaterial products manufactured by CenoBiologics Ltd (“Manufacturer”). Manufacturer website: https://cenobiologics.co.uk/
2) Website content and no clinical advice
Website content is provided for general professional information only. It is not medical, dental or surgical advice and must not replace professional judgement, training, product IFUs, or clinical guidelines.
Products we supply are intended for use by trained healthcare professionals and organisations only.
3) Intellectual property
All website content is owned by us or licensed to us. You may view and print content for your internal business use only. You must not reproduce, distribute, publish, or commercially exploit it without our prior written permission.
Trademarks, product names and logos may belong to the Manufacturer and/or other parties.
4) Acceptable use
You must not:
use the website unlawfully or in a way that infringes others’ rights
upload or transmit viruses, malware, or harmful code
attempt unauthorised access to our systems
scrape, harvest, or misuse data from the website
5) Third-party links
Third-party links are provided for convenience. We do not control those sites and are not responsible for their content or policies.
6) Website availability and liability
We do not guarantee that the website will be available at all times or error-free. To the maximum extent permitted by law, we exclude liability for losses arising from use of (or inability to use) the website, except where liability cannot be excluded (including for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation).
7) Changes
We may update these Website Terms from time to time. The version published on our website is the version in force.
Part 2 — B2B Sales Terms (Product Supply)
8) Business customers only
We supply products on a business-to-business basis only. By placing an order, you confirm that:
you are acting in the course of business; and
you are authorised to purchase and receive professional-use biomaterials.
We may request evidence of professional status, facility status, or authority (including professional registration details) and may refuse supply if we reasonably believe requirements are not met.
9) Products, intended use and documentation
9.1 Products supplied by us are manufactured by CenoBiologics Ltd unless stated otherwise.
9.2 Products must be stored, handled and used strictly in accordance with the applicable Instructions for Use (IFUs) and manufacturer documentation.
9.3 Clinical decision-making, training, technique selection, patient consent and compliance with professional obligations remain entirely your responsibility.
9.4 We do not provide clinical treatment advice and we do not guarantee clinical outcomes, which depend on case selection, handling, technique, and patient factors.
10) Quotes and ordering process (no online checkout)
10.1 At present, we do not offer online checkout. Orders are placed via account-based purchasing and confirmed by email.
10.2 Quotes are valid for the period stated on the quote (or, if not stated, 14 days).
10.3 An order constitutes an offer by you to purchase products.
10.4 A contract is formed only when we issue written acceptance (including an order confirmation) or dispatch the goods.
10.5 We may decline orders (including due to availability, verification requirements, or regulatory constraints).
11) Pricing and VAT
11.1 Prices are in GBP unless stated otherwise and are exclusive of VAT and delivery charges unless stated.
11.2 VAT will be charged at the applicable rate.
11.3 We may correct obvious pricing errors. If this affects your order, we will notify you and you may cancel the affected items.
12) Payment terms (BACS, 30 days)
12.1 Payment is by invoice via BACS unless agreed otherwise in writing.
12.2 Standard payment terms are 30 days from invoice date, unless different terms are agreed in writing.
12.3 Late payment: we may suspend further deliveries and/or charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998 (or any applicable replacement).
13) Delivery, inspection, risk and title
13.1 Delivery dates are estimates unless expressly agreed in writing as fixed.
13.2 Risk passes to you on delivery at the delivery address.
13.3 You must inspect goods promptly and notify us in writing:
within 48 hours of delivery for visible damage/shortages, and
within 7 days of delivery for other non-conformity discoverable on reasonable inspection.
If you do not notify us within these times, you may lose the right to claim for those issues (subject to applicable law).
13.4 Title (ownership) remains with us until we have received payment in full for the products.
14) Storage, handling and traceability
14.1 You must store and handle products strictly according to IFUs and any supplied instructions (including temperature and packaging requirements).
14.2 You must not remove, alter, or obscure labels, lot/batch numbers, expiry dates or traceability identifiers.
14.3 You must maintain appropriate traceability records and cooperate with any safety, investigation, or recall/field safety actions.
15) Returns, cancellations and credits (B2B)
15.1 Due to the nature of professional biomaterials, returns are only accepted with our prior written authorisation (a “Return Authorisation”).
15.2 We may refuse returns for products that are sterile, temperature-sensitive, expired, opened, damaged, or not in original sealed packaging, unless required by law or agreed in writing.
15.3 Where a return is authorised, you must follow our instructions precisely. Unless we agree otherwise, you are responsible for return shipping and ensuring appropriate transit conditions.
16) Complaints, product issues and suspected adverse events
16.1 If you suspect a product quality issue or adverse event, notify us promptly at orders@evolvebiodental.com (or any updated reporting address shown on our website).
16.2 You must preserve any affected product and packaging for investigation where safe and practicable.
16.3 We may share complaint/adverse event details with the Manufacturer and, where appropriate, relevant authorities for safety and compliance.
17) Warranties and disclaimers
17.1 We supply products in line with the Manufacturer’s specifications and documentation.
17.2 Except as expressly stated in writing, we provide no additional warranties regarding clinical outcomes, which depend on technique, handling and patient factors.
17.3 Any manufacturer warranty (if applicable) may apply separately and may be passed through to you where permitted.
Nothing in these Terms limits rights that cannot be lawfully limited.
18) Limitation of liability
18.1 We do not exclude liability for:
death or personal injury caused by our negligence
fraud or fraudulent misrepresentation
any other liability that cannot be excluded by law
18.2 Subject to clause 18.1 and to the maximum extent permitted by law:
we are not liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill, or loss of anticipated savings; and
our total aggregate liability arising out of or in connection with any contract is limited to the total price paid (or payable) by you for the products giving rise to the claim.
18.3 We are not liable for loss arising from improper storage/handling, off-label use, misuse, unauthorised resale/distribution, failure to follow IFUs, or use by untrained persons.
19) Indemnity
You agree to indemnify us against losses, damages, claims and costs arising from:
your breach of these Terms
your improper storage/handling or failure to follow IFUs
use outside IFU or applicable requirements
unauthorised resale or distribution
20) Force majeure
We are not liable for delays or failures caused by events outside our reasonable control (including supply chain disruption, carrier delays, shortages, or regulatory actions). We will take reasonable steps to minimise impact and keep you informed.
21) Compliance and restrictions
You must comply with all applicable laws, regulations and professional requirements relating to purchase, storage and use of the products. You must not export, re-sell, or transfer products outside the agreed territory/customer group without our prior written permission.
22) Confidentiality
Non-public pricing, technical and commercial information we share with you must be kept confidential and used only for your internal business purposes, unless disclosure is required by law.
23) Notices
Notices must be in writing and sent to orders@evolvebiodental.com or info@evolvebiodental.com (or as otherwise notified).
24) Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, unless we agree otherwise in writing.
Part 3 — General
25) Entire agreement
These Terms, our order confirmation, and any special terms agreed in writing form the entire agreement between us and you regarding the subject matter.
26) Severability
If any part of these Terms is held invalid or unenforceable, the remainder continues in force.
27) No waiver
If we do not enforce a term, we do not waive our right to enforce it later.
28) Third party rights
No third party has rights to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
